End-User License Agreement (EULA)

This End-User License Agreement ("EULA") is a legal agreement between you ("End User" or "you") and Parq Casino Development B.V. ("Company," "we," "us," or "our") for the Parq Casino Playbook mobile application software ("App"), which includes computer software and may include associated media, printed materials, and online or electronic documentation.

1. Agreement to Terms

BY DOWNLOADING, INSTALLING, OR USING THE APP, YOU AGREE TO BE BOUND BY THE TERMS OF THIS EULA. IF YOU DO NOT AGREE TO THE TERMS OF THIS EULA, DO NOT DOWNLOAD, INSTALL, OR USE THE APP.

2. License Grant

Subject to the terms and conditions of this EULA, Parq Casino Development B.V. grants you a limited, non-exclusive, non-transferable, revocable license to:

• Download, install, and use the App on iOS devices that you own or control
• Access and use the App solely for your personal, non-commercial purposes
• Receive updates, upgrades, and additional features that we may provide

3. License Restrictions

You shall not:

• Copy, modify, adapt, translate, or create derivative works of the App
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of the App
• Distribute, license, lease, sell, resell, transfer, publicly display, publicly perform, transmit, stream, broadcast or otherwise exploit the App
• Remove, alter, or obscure any proprietary notice (including any notice of copyright or trademark) of Parq Casino Development B.V. or its affiliates, partners, suppliers, or licensors
• Use the App for any illegal or unauthorized purpose
• Use the App in any manner that could damage, disable, overburden, or impair it
• Attempt to gain unauthorized access to the App or related systems or networks
• Use any automated system, including robots, spiders, or offline readers, to access the App
• Use the App to violate any applicable laws or regulations

4. Intellectual Property Rights

The App is licensed, not sold, to you. Parq Casino Development B.V. retains ownership of all intellectual property rights in and to the App, including but not limited to:

• All software code, algorithms, and programming
• All content, including text, graphics, images, audio, and video
• All trademarks, service marks, trade names, and logos
• All design elements and user interface
• All patents, copyrights, trade secrets, and other proprietary rights

No rights are granted to you other than as expressly set forth in this EULA.

5. User Account and Data

To use certain features of the App, you may be required to create an account. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate your account if we suspect any unauthorized use or violation of this EULA.

6. Educational Purpose and Disclaimer

Important Notice: The App is designed for educational purposes only. It provides information and training about casino table games but does not:

• Involve real money gambling or wagering
• Provide opportunities to win real money or prizes
• Guarantee success in actual casino gaming
• Constitute professional gambling advice

The content in the App is for informational purposes only. Casino gaming involves risk and is subject to local laws and regulations. We do not promote, encourage, or endorse gambling. Users should verify and comply with gambling laws in their jurisdiction.

7. Privacy and Data Collection

Your use of the App is also governed by our Privacy Policy. By using the App, you consent to the collection, use, and sharing of your information as described in our Privacy Policy, which is incorporated into this EULA by reference.

8. Updates and Modifications

We may provide updates, patches, or upgrades to the App from time to time. These updates may:

• Be automatically downloaded and installed on your device
• Change or remove features or functionality
• Require you to accept updated terms

You understand that the App may not function properly without installing updates.

9. In-App Purchases and Subscriptions

The App may offer in-app purchases or subscription services. If you make a purchase:

• Payment will be charged to your Apple ID account at confirmation of purchase
• Subscriptions automatically renew unless auto-renew is turned off at least 24 hours before the end of the current period
• Your account will be charged for renewal within 24 hours prior to the end of the current period
• Subscriptions may be managed and auto-renewal may be turned off by going to your Apple ID Account Settings after purchase
• No refund will be provided for the unused portion of any subscription period
• Any unused portion of a free trial period will be forfeited when you purchase a subscription

10. Third-Party Services and Content

The App may contain links to third-party websites or services. We are not responsible for:

• The content or practices of third-party websites or services
• Any damage or loss caused by your use of third-party services
• The accuracy or reliability of third-party content

Your use of third-party services is at your own risk and subject to their terms and conditions.

11. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. PARQ CASINO DEVELOPMENT B.V. EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability, fitness for a particular purpose, and non-infringement
• Warranties that the App will be uninterrupted, error-free, or secure
• Warranties regarding the accuracy, reliability, or completeness of content
• Warranties that defects will be corrected

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PARQ CASINO DEVELOPMENT B.V., ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or use
• Loss of or damage to property
• Claims of third parties

ARISING OUT OF OR IN CONNECTION WITH THIS EULA OR YOUR USE OF THE APP, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES EXCEED THE AMOUNT YOU PAID FOR THE APP IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify, defend, and hold harmless Parq Casino Development B.V. and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

• Your use or misuse of the App
• Your violation of this EULA
• Your violation of any rights of another party
• Your violation of any applicable laws or regulations

14. Term and Termination

14.1 Term

This EULA is effective from the date you first download, install, or use the App and continues until terminated.

14.2 Termination by You

You may terminate this EULA at any time by deleting the App from all your devices and ceasing all use of the App.

14.3 Termination by Us

We may terminate or suspend your license immediately, without prior notice or liability, if you:

• Breach any provision of this EULA
• Engage in fraudulent or illegal activities
• Violate the rights of others
• Fail to pay applicable fees

14.4 Effect of Termination

Upon termination:

• Your license to use the App immediately ceases
• You must delete all copies of the App from your devices
• We may delete your account and all associated data
• Sections of this EULA that by their nature should survive termination will survive

15. Governing Law and Dispute Resolution

15.1 Governing Law

This EULA shall be governed by and construed in accordance with the laws of the Netherlands, without regard to its conflict of law provisions.

15.2 Jurisdiction

Any legal action or proceeding arising out of or related to this EULA shall be instituted exclusively in the courts located in Rotterdam, Netherlands. You consent to the personal jurisdiction of such courts.

15.3 Dispute Resolution

In the event of any dispute arising out of or relating to this EULA, the parties agree to first attempt to resolve the dispute through good-faith negotiations for a period of thirty (30) days before pursuing formal legal action.

16. Export Control

The App may be subject to export control laws and regulations. You agree to comply with all applicable international and national laws regarding the export, re-export, and transfer of the App.

17. U.S. Government Rights

If you are a U.S. Government entity, the App is a "Commercial Item" as defined in 48 C.F.R. §2.101, and is licensed in accordance with this EULA.

18. Changes to This EULA

We reserve the right to modify this EULA at any time. We will notify you of any material changes by:

• Posting the updated EULA within the App
• Updating the "Last Updated" date at the top of this EULA
• Sending you a notification (if applicable)

Your continued use of the App after any changes indicates your acceptance of the new EULA. If you do not agree to the new terms, you must stop using the App.

19. Severability

If any provision of this EULA is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

20. Waiver

No waiver of any term of this EULA shall be deemed a further or continuing waiver of such term or any other term. Our failure to assert any right or provision under this EULA shall not constitute a waiver of such right or provision.

21. Entire Agreement

This EULA, together with our Privacy Policy and Terms of Use, constitutes the entire agreement between you and Parq Casino Development B.V. regarding the App and supersedes all prior or contemporaneous understandings and agreements, whether written or oral.

22. Assignment

You may not assign or transfer this EULA or any rights granted hereunder without our prior written consent. We may assign or transfer this EULA without restriction. Any attempted assignment in violation of this section shall be void.

23. Apple-Specific Terms

If you downloaded the App from the Apple App Store, the following additional terms apply:

• This EULA is between you and Parq Casino Development B.V., not Apple Inc. ("Apple")
• Apple is not responsible for the App or its content
• Apple has no obligation to provide maintenance or support for the App
• Apple is not responsible for any product warranties
• Apple is not responsible for addressing any claims you or third parties have relating to the App
• Apple is not responsible for any intellectual property infringement claims
• Apple and its subsidiaries are third-party beneficiaries of this EULA and have the right to enforce it
• You must comply with applicable third-party terms when using the App (e.g., wireless data service agreement)
